Pursuant to Articles 30.3 and 30.4 of the Law of the Republic of Azerbaijan on the Securities Market (the ‘Law’), banks operating in the Republic of Azerbaijan, including local branches of foreign banks, may provide investment services and perform investment operations within the scope and in accordance with the procedures determined by the Central Bank, subject to obtaining a license in accordance with Chapter 8-1 of the Law.

In accordance with Item 1.3 of the Regulation on the provision of investment services (operations) by investment companies and banks, and without prejudice to the requirements of the Law of the Republic of Azerbaijan on Banks, banks may provide only those investment services and operations referred to in Articles 30.3.1 and 30.4.1 of the Law in relation to securities or derivative financial instruments admitted to trading in the Republic of Azerbaijan. Banks may also provide the investment services and operations referred to in Article 30.3.6 of the Law in relation to securities and derivative financial instruments issued by the Central Bank of the Republic of Azerbaijan. The investment service referred to in Article 30.4.1 of the Law may be provided only within the framework of the investment service specified in Article 30.3.1 of the Law.

Banks may provide the following core and ancillary investment services (operations).

Core investment services (transactions):

• reception and execution of client orders relating to transactions in securities or derivative financial instruments admitted to trading in the Republic of Azerbaijan;

• dealing on own account in securities or derivative financial instruments issued by the Central Bank of the Republic of Azerbaijan, in the capacity of a member of the central depository and the stock exchange.

Ancillary investment services (transactions):

• administration of securities accounts relating to securities admitted to trading in the Republic of Azerbaijan, including the execution of transactions involving encumbrances over securities and derivative financial instruments, and the safekeeping of clients’ securities in the capacity of a member of the central depository.
